1 Parties & Agreement
This Hosting Agreement ("Agreement") is entered into between SA Crypto Miners ("Host", "we", "us") and the individual or entity placing a mining machine into our facility ("Client", "you"). By submitting a booking enquiry and delivering equipment for hosting, the Client agrees to be bound by these Terms & Conditions in their entirety.
2 Duration & Termination
- This Agreement operates on a month-to-month basis with no fixed-term commitment.
- Either party may terminate this Agreement by providing one (1) full calendar month's written notice via email to admin@sacryptominers.com.
- Notice must be received before the 1st of the month to take effect at the end of that calendar month. Notice received after the 1st shall take effect at the end of the following calendar month.
- SA Crypto Miners reserves the right to terminate this Agreement with immediate effect in the event of: non-payment of any invoice; the Client's equipment causing damage, fire risk, or electrical hazard; or any breach of these Terms.
- Upon termination, the Client's equipment will be returned via our collection and delivery process as set out in Clause 7.
3 Power Billing & Payment
- Power is billed at R2.00 per kWh (standard) or R1.50 per kWh (25% discount for Clients who purchase a new machine from SA Crypto Miners).
- Consumption is measured via accurate sub-metering. The Client will be billed only for actual power drawn by their equipment.
- Invoices are issued on the last business day of each calendar month and are payable within 7 (seven) days of the invoice date.
💡 Key benefit: Because billing occurs at month-end, Clients have the entire month to mine, accumulate crypto rewards, and use those earnings to settle their power invoice. Your miner can effectively pay its own running costs.
- Late payments attract interest at 2% per month on the outstanding balance.
- SA Crypto Miners reserves the right to suspend service (power off the machine) if payment is not received within 7 days of the due date, without liability for lost mining income during the suspension period.
- Rates may be revised with 30 days' written notice to the Client.
4 Equipment & Liability
- The Client warrants that all equipment delivered for hosting is legally owned or authorised by the Client, is in safe working condition, and complies with applicable electrical standards.
- SA Crypto Miners will take reasonable care of the Client's equipment while in our facility. However, we shall not be liable for: loss of mining income; equipment failure due to pre-existing faults; damage caused by load-shedding, power surges, or other force majeure events; or damage caused by the equipment's own malfunction.
- The Client is strongly encouraged to maintain appropriate insurance for their equipment.
- SA Crypto Miners accepts no liability for cryptocurrency market fluctuations, pool changes, or mining profitability. All mining rewards accrue solely to the Client's wallet address as configured by the Client.
- Maximum liability of SA Crypto Miners under this Agreement shall not exceed the total hosting fees paid by the Client in the preceding 3 months.
5 Facility Access & Security
- No physical access to the hosting facility is granted to Clients at any time. The location of the facility is strictly confidential and will not be disclosed.
- Clients may not visit, inspect, or enter the premises under any circumstances. Any request for site access will constitute grounds for immediate termination of this Agreement.
- Remote monitoring of the Client's miner (hashrate, temperature, pool connection) is the Client's responsibility via their chosen mining pool dashboard.
- SA Crypto Miners will notify the Client promptly of any significant issue affecting their equipment (e.g. offline miner, hardware fault) and will take reasonable steps to restore operation.
6 Power Supply & Uptime
- SA Crypto Miners will make reasonable efforts to provide continuous power to hosted equipment. However, we do not guarantee 100% uptime.
- Downtime resulting from load-shedding (Eskom/municipal supply interruptions), scheduled maintenance, equipment failure, or other force majeure events shall not result in billing credits or compensation unless the outage is directly caused by SA Crypto Miners' gross negligence.
- The Client acknowledges that load-shedding is an inherent risk of operating in South Africa and accepts associated periods of downtime.
7 Collection & Return of Equipment
- SA Crypto Miners will collect and return all equipment. Clients may not deliver or collect equipment themselves, nor may third parties act on the Client's behalf without prior written approval from SA Crypto Miners.
- Collection within the Cape Town metropolitan area is provided free of charge. Collection from other locations in South Africa will be arranged at the Client's cost, to be agreed in writing before commencement.
- Equipment will be returned within 7 business days of the termination date, subject to all outstanding invoices being paid in full.
- SA Crypto Miners reserves the right to retain equipment as security until any outstanding balance is settled.
- The Client must ensure their equipment is packaged safely for return transport. SA Crypto Miners will not be liable for transit damage where appropriate packaging was not provided.
8 Confidentiality
The Client agrees to keep the details of this Agreement, including the hosting rate, facility location, and any operational information shared by SA Crypto Miners, strictly confidential. The Client may not disclose such information to any third party without prior written consent.
9 Prohibited Uses
- Equipment hosted may only be used for lawful cryptocurrency mining activity.
- The Client may not sublet, resell, or transfer their hosting slot to any third party.
- Only one machine per slot is permitted unless expressly agreed in writing.
- Equipment with power draw exceeding 3,600W may not be hosted without prior written approval. SA Crypto Miners reserves the right to remove equipment that exceeds this threshold without notice.
10 Governing Law & Disputes
This Agreement shall be governed by the laws of the Republic of South Africa. Any dispute arising out of or in connection with this Agreement shall first be referred to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to mediation in Cape Town before any legal proceedings are initiated.
